(1) INTRODUCTION
The Nigerian Agip Oil Company limited (NAOC) has a requirement to issue MUD AND BRINE ENGINEERING contract for the Scope of Work identified below on NAOC land and swamp area wells for two (2) years firm period each plus one (1) year optional extension.
NAOC therefore invites submissions for the purpose of technical evaluation from suitable and reputable companies having the capability and experience to undertake the under defined scope of work:
(2) SCOPE OF WORK
The work will comprise of Mud and Brine Engineering services for drilling, completion, workovers and rigless operations of NAOC wells in land and swamp areas.
• As a mandatory requirement, the Supplier shall have the under listed basic capability/materials/logistic to qualify for consideration
• Drilling and completion fluid management and associated services including but not limited to design, mixing, testing and treatment with all items, ancillary and optional equipment. Preparing of special items, e.g. lost circulation pills, stuck-pipe pills, etc., as and when required;
• Furnish all equipment, labour, materials and services. Supply timely on rig/well site all chemicals and additives required for mixing and maintaining the mud and completion fluids properties, inclusive supply of bulk barite and bentonite including but not limited to:
• Oil Base Mud chemicals and additives.
• Required environmentally friendly mud types (Esther, Olefin oil base muds or equivalent).
• Water Base Mud chemicals and additives.
• Required Spud-in mud and polymer mud types (glycol, silicate water base mud types or equivalent).
• Completion Fluids chemicals and
• Required additives and chemicals for completion/workovers of standard (light brine: Calcium Chloride, Potassium Chloride, inhibitor, etc.) and high pressure wells (heavy brine: Calcium Bromide or equivalent).
• Bulk: Supply of Base Oil, Calcium Carbonate, Barite and Bentonite.
• Provision of logistic support: Required facilities for mixing, treating, storing, transferring and transportation of liquids and powdered bulk products. Required Supply Base in Port Harcourt, Warri and storage facilities at ONN E FOT shore base.
• Provision of all personnel and engineering support required performing the Work effectively and efficiently.
• Provision of a mud lab and mud testing facilities, equipment and instruments;
Failure to meet any of these requirements shall lead to outright disqualification.
CONTRACTOR shall conform to ISO 9000 series International Standard. All the activities shall be carried out with minimum impact on the environment and maximum care of health and safety of all concerned, directly or indirectly, with the activities.

(3) MANDATORY REQUIREMENTS

(4) NIGERIAN CONTENT
Bidders are invited to express complete understanding, willingness and commitment to comply with the Nigerian Oil and Gas Industry Content Development (NOGICD) Act, 2010 and. Insurance ACT 2003 Consequently, bidders’ submissions shall be evaluated strictly with the minimum evaluation criteria defined in the NOGICD Act.
The documentation for evaluation shall include but not be limited to the following:
(1) Demonstrate that the entity is a Nigerian indigenous company, Provide details of its Ownership Structure. Submit certified true copies of CAC form (C02 and C07) including Memorandum and Article of Association. Including evidence of being registered on the NCDMB NOGICJQS.
(2) Provide description of in-country committed infrastructure (asset, equipment, technical office, and administrative space, storage, workshop, assembly area, repair, and laboratory, testing, etc) in Nigeria (offices, equipment etc) to support this contract.
(3) Demonstrate in-country sourcing of the base raw materials and chemicals.
(4) Provide evidence of ownership of blending, testing and laboratory facility in Nigeria or MOA with in-country owners of such facility.
(5) Demonstrate in accordance with the NOGICD Act 2010, a minimum of 90% in-country spend as specified in the Schedule A for this service, NCEC approval for this product and service category.
(6) Provide description of Project-specific training, man-hour, budget, skill development and understudy plan for Nigerian personnel in key areas, In line with NCD Human Capacity Development Initiative.
(7) Provide evidence of being AMAPOB member or Memorandum of Agreement (MOA) with the AMAPOB SUPPLIER OF BARITE AND BENTONITE.

(1.0) INTRODUCTION
Nigerian Agip Oil Company Limited (NAOC), intends to put in place a contract for the provision of Measurement While Drilling (MWD)/Logging While Drilling (LWD) Services for NAOC Land and Swamp Operations, for two (2) years firm period plus one (1) year optional extension, starting from first quarter of 2017.
NAOC therefore uses this medium to inform suitable and reputable Nigerian Companies having requisite experience and resources for the execution of project of this magnitude to register or update their registration with NipeX for consideration in the subject opportunity
(2.0) SCOPE OF WORK/SERVICE REQUIREMENT
The Scope of Work shall include the provision of Measurement While Drilling services including but not limited: Contractor shall provide qualified personnel. The tools are State-of-the-art MWD (probe and collar MWD) systems including Gamma Ray, Direction and Inclination services etc in various sizes; Typically sizes are 26″, 16″ 12 ¼” 8 ½ 6″ however variations are expected in line with industry standards. The tools should be deployable in both benign and tough drilling applications including HPHT, with modern software for trajectory plotting and MWD survey corrections. Consequently Contractor shall provide:
• State-of-the-art MWD (probe and collar MWD) systems including Gamma Ray, Direction and Inclination services deployable in both benign and tough drilling applications including HPHT, with modern software for trajectory plotting and MWD survey corrections; gyro/ borehole survey services;
• Competent and adequately experienced MWD and LWD Engineers with up to date knowledge of relevant state of the art software to support modern directional drilling and integrated measurement / evaluation systems;
• Logging While Drilling Tools (formation and annular pressure while drilling tools, minimum 8 curves multi-depth and multi-frequencies resistivity.
• Azimuthal resistivity, neutron, azimuthal density, sonic, density caliper, ultra sonic azimuthal caliper, etc. in various sizes); Note: All nuclear sources should be retrievable type or a non-hazardous non-retrievable type;
• All necessary consumables and spare parts; and
• All other related equipment, tools and experienced personnel necessary to satisfactorily perform the above services.

(4.0) NIGERIAN CONTENT
Bidders are invited to express complete understanding and willingness to develop in-country capability and capacity for related work packages in compliance with the Nigerian Oil and Gas Industry Content Development Act (NOGICD, 2010) and other extant laws.
Pursuant to the above, bidders’ submissions shall be evaluated strictly with the minimum evaluation criteria defined in the NOGICD Act, only bidders’ whose submissions are in compliance shall proceed to the next stage of the tender process.
The information/documentation that will be required to be submitted by bidders at the ITT stage among others are as follows:
(1) Nigerian Content Plan that addresses utilization of Nigerian Labour, Services, Materials and Equipment for this service in order to achieve the minimum targets as set out in line with the requirements of the NOGICD ACT.
(2) Provision of evidence that 50% of the equipment deployed is owned by the Nigerian subsidiary if applying entity is a multinational (Clause41 (2) of the NOGICD Act). If not the case provision of concrete plan to comply in the next 3 years.
(3) Provision of detailed description of the role, work scope, man-hours and responsibilities bidders will accomplish using Nigerian Resources (Labour, Material & Services)
(4) Detail past experience/present commitment to staff training and development of its Nigerian personnel. Furnish details of specific training plans that will be provided for Nigerians specific to this scope of work’
(5) Demonstration that entity is a Nigerian company as defined in Clause 3(2) of the Act which gives Exclusive consideration to Nigerian Indigenous service companies which demonstrate ownership of equipment, Nigerian personnel and capacity to execute such work to bid on land and swamp area of the Nigerian oil and gas industry
(6) A Nigerian Registered Company as the contracting entity and lead contractor in executing scope of work can form genuine alliance or joint venture partnership with foreign company showing details of scope and responsibilities of parties for this work.
(7) Such companies must show evidence of joint venture binding agreement duly signed by the CEO of both companies which must be governed by the laws of the Federal Republic of Nigeria including evidence or plans of physical operational presence and set-up in Nigeria
(8) Provision of company ownership details, shareholding structure and copies of CAC forms C02 and C07, including company memorandum & article of association.
(9) Innovative proposals that would enhance the Nigerian Content for the project and other associated activities in-country.
NOTE: Bidders shall be requested to provide evidences to show their compliance with the above listed requirements at the ITT stage. Failure to meet the Nigerian Content requirements is a “FATAL FLAW.”

FURTHER INFORMATION
Interested and qualified contractors with relevant experience who wish to tender for these projects are required to obtain further information on the above from the office of the Executive Director, Projects, NDDC Head office, 167 Aba Road, Port Harcourt between the hours of 10am and 4pm Mondays through Friday; beginning from March 16, 2017 until thursday 30th March 2017.
REQUIREMENTS FOR ELIGIBILITY OF CONTRACTORS
Interested contractors who wish to Tender for these projects would be deemed qualified to collect their tender documents at the address stated below after payment of a non-refundable fee of N50,000.00 (Fifty thousand naira) only payable in bank draft in favour of the Niger Delta Development Commission and the submission of the following documents (with relevant verifiable evidence):
(1) Certificate of Registration of company in Nigeria with the Corporate Affairs Commission together with the Memorandum and Articles of Association and Form C07 showing the list of Directors and number of shares each has subscribed to;
(2) Evidence of Registration on the National Database of Contractors, Consultant and Service Providers:
(3) Clear indication of a Verifiable Head Office address, indicating address of Branch office(s) or outlet(s) in the Niger Delta Region and a Utility Bill of the office(s)/Outlet(s);
(4) Corporate profile of firm Indicating ownership;
(5) Professional registration of the Firm with appropriate professional Body;
(6) An indication of any of the project/type above that the company is interested in;
(7) Evidence of Current Tax Clearance Certificate of the company for the past three (3) years duly certified and issued by FIRS;
(8) A confirmable VAT Certificate with evidence of remittance;
(9) Evidence of up to date Annual Returns;
(10) A Verifiable evidence of compliance with statutory Pensions Act;
(11) Verifiable evidence of Registration and Contributions to the Industrial Training Fund (ITF);
(12) Documented evidence of financial capability of the company (e.g Certified Bank’s Statement for the past three (3) years duly stamped and signed by the Bank)
(13) Affidavit of Disclosure, disclosing that the company possesses the professional and technical qualifications and shall make them available, when required to carry out the works;
(14) Affidavit of Disclosure, disclosing that the Company shall exercise requisite skills in service provision and only use genuine/specified materials and inputs in the execution of the works;
(15) Affidavit of Disclosure, disclosing the company is not in receivership;
(16) Affidavit of Disclosure, disclosing whether any officer of NDDC is a former or present Director of the company;
(17) Affidavit of Disclosure, disclosing whether any Director of the Company has been convicted in any country for any criminal offence relating to fraud or financial impropriety;
(18) Affidavit of Disclosure, disclosing that the company has not unduly abandoned any previous job awarded to it by NDDC;
(19) Affidavit of Disclosure, disclosing that the Company/Contractor possesses the legal capacity to enter into a procurement contract;
(20) A statement of Interest, including a statement of availability to Undertake and Deliver the job with the Specified duration;
(21) Technical capability of the Firm, Including CV of relevant staff and profile Equipment;
(22) Evidence of track records of the firm in the execution of similar Projects;
(23) Letter of Reference, Evidence of payment for similar jobs done in the past with verifiable names and phone numbers of contact persons from the awarding institution;
(24) A well laid-out itemized strategy/intended methodology for a smooth delivery of the proposed project; and
(25) Any other information that would aid in good assessment of the company.
CRITICAL EVALUATION
Contractors are expected to fully comply with the above requirements as failure to do so may weaken the contractor’s case. Contractors are to submit only genuine and verifiable documents as contractors who submit fake or fraudulently obtained documents would be disqualified and the attention of the relevant security agencies may be called; if necessary. All submissions would be evaluated on the basis of documents submitted and selection would be based on a series of factors including contractor’s competence, experience and track record.

Contractors are advised not to try to influence the selection process as this would lead to immediate disqualification of the contractor and they may also be barred from seeking other contract opportunities from the Commission;

VALIDITY OF TENDERING

INVESTMENT OPPORTUNITY IN A GROUP OF HOTELS: REQUEST FOR EOI

Invest in the redevelopment/refurbishment of a group of hotels, Hotel A, B and C (jointly referred to as “the Hotels”) with the following characteristics:
• Current combined capacity of over 400 rooms, 10 conference/banquet halls with 500 -1,000 sitting capacity each, 3 – 5 restaurants, Olympic-size swimming pools, well-equipped gyms, etc. There is also a potential for capacity expansion and addition of more facilities including conference/banquet halls with a minimum of 2,000 sitting capacity, given the availability of a large land area of approximately 18 hectares.
• Current Hotels’ rating is about 3 – 4 star. However, the Hotels can be upgraded to 5 star depending on the level of redevelopment.
• Located in key commercial and industrial hubs in two of the major cities in Nigeria with a combined population of about 30 million.
• Located along major intra-city routes with good road network and within close proximity to the major inter-state routes connecting the region with other parts of Nigeria, which gives the Hotels excellent visibility, transport links and access.
• Proximity to airport districts. Hotel A is within few kilometres to two domestic airports and the only international airport in the South West region of Nigeria.
Transaction details
• Existing Hotels’ assets will be transferred to a yet to be established special purpose vehicle (SPV) wherein a new investor/developer will inject equity capital to fund proposed redevelopment/refurbishment.
• Investors have the opportunity to invest in all three Hotels, Hotel A as a standalone or Hotel B and C as a group.
